Partner Terms of Service

These Partner Terms of Service govern participation in the InstantNode partner and reseller program. They apply in addition to our Terms and Conditions, Privacy Policy and Payment Terms, which continue to apply in full to every partner account. In the event of conflict, these Partner Terms take precedence for matters specific to the partner relationship; in all other respects the Terms and Conditions prevail.

1. Eligibility and Application

Participation in the partner program requires an active InstantNode customer account in good standing and acceptance of these Partner Terms. Becoming a partner is subject to application and approval; InstantNode may grant or decline partner status at its reasonable discretion and may set additional requirements (for example, minimum activity or verification of identity). There is no entitlement to admission to the program. Approval may be revoked if the eligibility conditions cease to be met.

2. Scope of the Partner Relationship

The partner relationship entitles the partner to promote InstantNode services and, where applicable, to resell or refer them within the framework provided by the panel. Unless expressly agreed in writing, the partner acts as an independent contractor and not as an employee, agent or legal representative of InstantNode. The partner is not authorized to make representations, give warranties or enter into obligations on behalf of InstantNode. The partner relationship is non-exclusive; InstantNode may operate other partners, resellers and direct sales channels.

3. Partner Obligations

The partner undertakes to represent InstantNode and its services accurately and not to make misleading, exaggerated or false statements about availability, pricing, performance or features. The partner must comply with all applicable laws, including advertising, consumer-protection, anti-spam and data-protection law, and must not damage the reputation of InstantNode.

The partner must not misuse the panel, the API, partner credits, discount codes or any reseller functions, in particular by self-referral, fraudulent or fictitious orders, manipulation of commissions, circumvention of resource or rate limits, or sharing of credentials. The partner is responsible for the security of their partner account in accordance with the Terms and Conditions, including the use of two-factor authentication. The partner must keep their contact and billing information accurate and up to date.

4. Commissions, Discounts and Settlement

Any commissions, discounts or partner credits are determined by the rates and rules displayed in the panel at the relevant time and may be adjusted prospectively. Commissions and discounts are granted exclusively as promotional panel credit (a loyalty/reward benefit, not a monetary claim): there is no cash payout, and partner credit cannot be redeemed for cash. This does not affect the refund rules for paid balance in the Payment Terms. Eligible amounts arise only from valid, completed and paid transactions and may be reversed in the case of chargebacks, refunds, cancellations, fraud or breaches of these Partner Terms. InstantNode may withhold or offset credit where settlement is pending or where misuse is suspected.

5. Prohibited Conduct

The following conduct is prohibited and may lead to immediate suspension or termination: misrepresentation of the partner relationship; unsolicited bulk messaging (spam); use of misleading domains, branding or paid search terms that impersonate InstantNode; bidding on InstantNode trademarks in a way that misleads customers; promoting the services in connection with unlawful, infringing or harmful content; any attempt to manipulate, defraud or game the commission, credit or referral system; and any breach of the Terms and Conditions or Privacy Policy.

6. Term and Termination

The partner relationship runs for an indefinite term and may be terminated by either party at any time. InstantNode may suspend or terminate partner status with immediate effect for good cause, in particular in the event of a breach of these Partner Terms, suspected misuse, or risk to the security, integrity or reputation of InstantNode. Upon termination, the partner must cease all promotion and use of InstantNode branding. Pending, validly earned partner credit that is not affected by misuse or reversal remains available as panel credit subject to the Payment Terms; no cash payout is made.

7. Liability

Liability under these Partner Terms mirrors the liability provisions of the Terms and Conditions. InstantNode is liable without limitation in cases of intent, gross negligence, injury to life, body or health, under the German Product Liability Act, and where a guarantee has been assumed. In the case of slightly negligent breach of a material contractual obligation, liability is limited to the foreseeable damage typical for the contract; in all other respects liability for slight negligence is excluded. Mandatory statutory rights remain unaffected.

8. Other Applicable Terms

The Terms and Conditions, the Privacy Policy and the Payment Terms also apply to the partner relationship and are incorporated by reference. By participating in the partner program, the partner confirms acceptance of these documents in their respective current versions. InstantNode may amend these Partner Terms prospectively; the version applicable is the one published in the panel and the public legal pages.
